1. Agreement to These Terms
These Terms of Use ("Terms") govern your access to and use of the Kingdom Clips website located at https://kingdomclips.com, the Kingdom Clips early access waitlist, and related pre-launch services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms or the Privacy Policy, do not access or use the Service. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
2. Description of the Service
Kingdom Clips is software currently in development. The Service allows you to learn about the product and join a waitlist to receive updates about launch, early access, beta programs, and related announcements.
Joining the waitlist does not create a customer account, purchase agreement, employment relationship, partnership, or agency relationship. It does not guarantee product availability, launch timing, pricing, feature set, early access, or continued operation of the Service.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. Descriptions, screenshots, roadmap items, and marketing materials are illustrative and may change before release.
3. Eligibility
You must be at least 16 years old to use the Service and join the waitlist, unless applicable law in your jurisdiction requires a higher minimum age.
If you are in the United States, the Service is not directed to children under 13, and you must not use the Service if you are under 13. If you are between 13 and 16, you may use the Service only where permitted by applicable law and, where required, with parental or guardian consent.
By using the Service, you represent that you meet the applicable eligibility requirements and that all information you provide is accurate, current, and complete.
4. Waitlist Registration
To join the waitlist, you may be asked to provide your full name and email address. You agree to provide accurate information and to keep it updated where reasonably necessary.
You may not create multiple fraudulent sign-ups, use another person's identity without authorization, or submit information on behalf of another person unless you are legally authorized to do so.
We reserve the right to refuse, remove, or cancel any waitlist registration at our discretion, including if we believe you violated these Terms or applicable law.
5. Communications and Marketing Consent
By joining the waitlist, you agree that we may contact you using the information you provide to send Service-related and Kingdom Clips product communications, including launch updates, early access invitations, surveys, and similar notices, as further described in our Privacy Policy.
Where required by law, including in the EEA, UK, and other jurisdictions requiring consent for electronic marketing, submitting the waitlist form constitutes your consent to receive such communications until you withdraw consent or unsubscribe.
You may opt out of marketing emails at any time by using the unsubscribe link in an email or contacting privacy@kingdomclips.com. We will process opt-out requests within the timeframes required by applicable law, including CAN-SPAM requirements for U.S. commercial email where applicable.
Transactional or operational messages related to your request or legal notices may still be sent where permitted by law, even after you opt out of marketing.
6. Acceptable Use
You agree not to, and not to assist others to:
- Use the Service for any unlawful, harmful, fraudulent, or deceptive purpose
- Violate any applicable local, national, or international law or regulation
- Infringe the intellectual property, privacy, or other rights of any person or entity
- Submit false, misleading, defamatory, harassing, hateful, or obscene content
- Attempt to gain unauthorized access to our systems, accounts, data, or networks
- Probe, scan, or test the vulnerability of the Service without authorization
- Interfere with or disrupt the Service, servers, or networks connected to the Service
- Use bots, scrapers, crawlers, or automated means to access the Service except as we expressly permit
- Reverse engineer, decompile, or attempt to extract source code except as permitted by law
- Introduce malware, viruses, or other harmful code
- Impersonate any person or entity or misrepresent your affiliation
- Collect personal information from other users without authorization
We may investigate violations and cooperate with law enforcement or regulators where appropriate.
7. Intellectual Property
The Service and all content, features, functionality, software, text, graphics, logos, icons, images, audio, video, design, selection, arrangement, and branding are owned by or licensed to Kingdom Clips and are protected by copyright, trademark, and other intellectual property laws worldwide.
Except for the limited right to access and use the Service in accordance with these Terms, no license or other rights are granted to you. You may not copy, modify, distribute, sell, lease, publicly display, publicly perform, create derivative works from, or exploit any part of the Service without our prior written consent, except as permitted by mandatory law.
"Kingdom Clips" and related marks are trademarks of Kingdom Clips or its affiliates. Third-party names, logos, and marks are the property of their respective owners and are used for identification purposes only.
8. Feedback
If you submit ideas, suggestions, comments, or other feedback about Kingdom Clips or the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, create derivative works from, distribute, and otherwise exploit the Feedback for any purpose without compensation or attribution to you, to the fullest extent permitted by law.
Do not submit Feedback that you consider confidential or proprietary unless we have agreed otherwise in writing.
9. Third-Party Services and Links
The Service may reference or link to third-party websites, platforms, tools, or services, including social media networks and technology providers. We do not control and are not responsible for third-party content, policies, availability, or practices. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
10. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood it.
11. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. WE AND OUR AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT ANY PRODUCT WILL LAUNCH ON A PARTICULAR DATE, WITH PARTICULAR FEATURES, OR AT ANY SPECIFIC PRICE. ANY MATERIAL OR INFORMATION DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL KINGDOM CLIPS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE MINIMUM AMOUNT REQUIRED BY APPLICABLE LAW.
Nothing in these Terms limits liability where prohibited by law, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where such limitation is not permitted.
13. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Kingdom Clips, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any law or third-party right, or any information you submit through the Service.
This indemnification does not apply to the extent a claim arises from our gross negligence, willful misconduct, or fraud.
14. Release
To the fullest extent permitted by applicable law, you release Kingdom Clips and its affiliates from claims, demands, and damages of every kind arising out of or related to disputes with other users or third parties, except where such release is prohibited by law.
15. Force Majeure
We are not liable for any failure or delay in performance resulting from events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, governmental actions, or failures of third-party hosting or infrastructure providers.
16. Changes to the Service and These Terms
We may update the Service and these Terms from time to time. The "Last updated" date at the top indicates when these Terms were most recently revised. Material changes will be posted on this page. Where required by law, we will provide additional notice or request renewed acceptance.
Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms, except where applicable consumer law requires otherwise.
17. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you violated these Terms, applicable law, or if we discontinue the Service. You may stop using the Service at any time and may request removal from the waitlist by contacting us.
Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute provisions.
18. Applicable Law
These Terms are interpreted and enforced in accordance with applicable law, taking into account mandatory consumer protection rules in your country or region of residence where those rules cannot be waived by contract.
19. Dispute Resolution
19.1 Informal resolution
Before filing a formal claim, you agree to contact us at privacy@kingdomclips.com and attempt to resolve the dispute informally within thirty (30) days.
19.2 Formal proceedings
If a dispute is not resolved informally, it may be brought only in a court or forum with jurisdiction under applicable law, unless mandatory consumer protection rules in your jurisdiction require otherwise.
19.3 Consumer protections
If you are a consumer in the EEA, UK, or another jurisdiction with mandatory consumer protection rules, you may have the right to bring proceedings in the courts of your country of residence where such rights cannot be waived. Nothing in these Terms limits non-waivable statutory rights.
19.4 Time limit to bring claims
To the fullest extent permitted by law, any claim arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim arose, except where a longer period is required by mandatory law.
20. Export and Sanctions Compliance
You may not use the Service if you are located in, ordinarily resident in, or subject to the laws of a country or region subject to comprehensive U.S. or other applicable embargoes or sanctions, or if you are listed on any applicable denied-party or restricted-party list. You agree to comply with all applicable export control and sanctions laws.
21. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
22. Entire Agreement, Severability, and Waiver
These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede prior or contemporaneous understandings on that subject, except for any additional terms we expressly present when you use a specific feature.
If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later.
23. Language
These Terms are written in English. If translated, the English version controls to the extent permitted by applicable law in the event of conflict.
